These Terms of Service govern your access to and use of the FirstShop website and any purchases made through it. By accessing this website or placing an order, you agree to be bound by these terms, together with any policies referred to on this website.
1. Definitions and Interpretation
- FirstShop, we, us or our means First Technology IT Suppliers (Pty) Ltd trading as FirstShop.
- Website means the FirstShop website and any related website pages owned or operated by FirstShop.
- User, you or your means any person who accesses or uses the website or places an order through it.
- Consumer means a consumer as contemplated in the Consumer Protection Act, 2008.
- Special-order item means any item that is supplier-sourced on request, indent, custom-built, configured-to-order, non-standard, or not ordinarily held as regular stock by FirstShop.
- Business day means any day other than a Saturday, Sunday, or South African public holiday.
2. Use of the Website
You agree to use the website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit the use and enjoyment of the website by any other person.
3. Orders
3.1 Placing an order
Placing an order on the website constitutes an offer by you to purchase the goods selected, subject to these Terms of Service.
3.2 Order acceptance
An order will only be regarded as accepted once FirstShop has completed its internal review and confirmed the order for fulfilment. Submission of an order, receipt of an order reference, automated order acknowledgement, cart confirmation, or payment does not by itself mean that an order has been accepted.
3.3 Right to refuse or review orders
Before acceptance, FirstShop reserves the right to review, refuse, place on hold, limit, or cancel any order where there is:
- insufficient or unavailable stock
- a pricing discrepancy or obvious pricing error
- an error in product information, specifications, or availability
- a supplier pricing change, landed-cost increase, or availability issue
- suspected fraud, unauthorised activity, or payment irregularity
- an issue affecting delivery, compliance, or lawful fulfilment
If an issue is identified before acceptance, FirstShop may contact you with the corrected position, propose an alternative, or cancel the affected item or order where appropriate. Any refund due will be processed in accordance with applicable law.
3.4 Customer responsibility
You are responsible for ensuring that all information provided when placing an order is complete and accurate. You are also responsible for ensuring that any payment method used is valid and authorised.
3.5 Cancellation requests
If you wish to cancel an order, you should notify FirstShop as soon as possible. Any cancellation remains subject to whether the order has already been accepted, processed, allocated, configured, dispatched, or specially procured. Consumer rights under applicable law remain unaffected.
4. Pricing
4.1 Website pricing
FirstShop takes reasonable care to ensure that product pricing, descriptions, specifications, and availability information displayed on the website are accurate and up to date.
4.2 Obvious pricing or product information errors
However, errors, omissions, delays in updates, or supplier-driven changes may occasionally occur. If FirstShop identifies an obvious, inadvertent, or manifest pricing error, product-information error, or other unintended inaccuracy, FirstShop reserves the right to correct the error and to contact affected customers before processing or completing the order.
4.3 Pricing validation before fulfilment
All orders remain subject to pricing validation before fulfilment. Where a material pricing discrepancy is identified before acceptance or dispatch, FirstShop may decline the order, cancel the order, or contact you with the corrected pricing or product position before proceeding.
4.4 Exchange rates, supplier pricing, and landed costs
Certain products may be affected by sudden changes in supplier pricing, exchange rates, international component costs, import costs, freight, duties, landed costs, allocation constraints, or availability changes outside FirstShop’s control. Where these factors materially affect a product before fulfilment, FirstShop reserves the right to review the order and to contact you with the updated position where appropriate.
4.5 Special-order and non-standard items
Products that are special-order, indent, supplier-sourced, customised, configured-to-order, or otherwise non-standard may be subject to supplier repricing, revised lead times, revised specifications, or changed availability before fulfilment. In such cases, FirstShop may contact you to confirm whether you wish to proceed on the revised basis, consider an alternative, or cancel the affected item or order where appropriate and subject to applicable law.
4.6 VAT
Unless stated otherwise, prices displayed on the website are inclusive of VAT at the applicable South African rate.
4.7 Quotes
Unless otherwise stated in writing, any quotation issued by FirstShop is valid only for the period expressly stated on the quotation. Due to market volatility, shorter validity periods may apply to certain products, brands, categories, projects, and configurations.
5. Product Information, Images and Specifications
FirstShop takes reasonable care to ensure that product descriptions, images, technical specifications, compatibility information, availability indications, bundle contents, and other product-related information published on the website are accurate and up to date.
However, errors, omissions, delays in updates, and manufacturer-, supplier-, distributor-, or third-party data changes may occasionally occur. Product information may change without notice, including specifications, packaging, included accessories, colours, software bundles, warranty terms, model revisions, and regional variations.
Product images are provided for illustrative and identification purposes only. Actual products, packaging, labels, included accessories, software, ports, colours, bundle contents, and physical appearance may differ from the images displayed on the website.
Where product information published on the website is based on information supplied by manufacturers, suppliers, distributors, or other third parties, FirstShop does not warrant that such information will always be complete, current, or error-free at all times.
Customers may also consult the manufacturer’s official documentation for the latest detailed technical information, compatibility, and included items.
If FirstShop identifies a material error or inaccuracy in any product description, image, specification, compatibility detail, availability indication, or other product-related information before fulfilment, FirstShop reserves the right to correct the information, contact the customer, propose an alternative, or cancel the affected item or order where appropriate, subject to applicable law.
Minor differences in imagery, packaging, labelling, documentation, or non-essential descriptive wording will not by themselves constitute a defect or misrepresentation where the product supplied is the correct model and materially conforms to the order.
6. Availability and Stock
6.1 General availability
All products are offered subject to availability. Stock indications shown on the website are for guidance only and may change without notice.
6.2 Supplier-sourced and special-order items
Some items sold by FirstShop are sourced from suppliers on demand and may not be held in our regular warehouse stock. These items may be subject to supplier confirmation, revised lead times, changed availability, revised specifications, revised supplier pricing, or revised landed costs before fulfilment.
6.3 If a product becomes unavailable
If a product becomes unavailable after you place an order, FirstShop may cancel the unavailable item or order, offer an alternative, or contact you with updated availability information. Where payment has already been received for goods that cannot be supplied, any refund due will be processed in accordance with applicable law.
7. Special-Order, Indent, Configured, and Non-Standard Items
Products that are special-order, indent, configured-to-order, custom-built, or otherwise non-standard may carry additional commercial and fulfilment risk. These items may:
- be subject to revised supplier pricing before fulfilment
- be subject to revised lead times or delayed delivery
- be subject to revised technical specifications or component substitutions from the manufacturer or supplier
- be non-returnable except where required by law or where separately agreed in writing
Where such a change arises before fulfilment, FirstShop may contact you to confirm whether you wish to proceed on the revised basis, consider an available alternative, or cancel the affected item or order where appropriate.
8. Delivery, Title, and Risk
8.1 Delivery estimates
Any dispatch or delivery time shown on the website, in communication, or on a quotation is an estimate unless expressly confirmed otherwise in writing.
8.2 Delays
FirstShop is not liable for delays caused by events outside its reasonable control, including courier delays, supplier delays, import delays, manufacturer delays, strikes, systems failures, force majeure events, or regulatory interruptions.
8.3 Transfer of risk and ownership
Risk in the goods passes to you on delivery. Ownership in the goods passes only once FirstShop has received payment in full and cleared funds where applicable.
9. Returns, Faulty Goods, and Consumer Rights
Returns, repairs, replacements, refunds, and consumer cancellation rights are subject to applicable South African law, including the Consumer Protection Act and the Electronic Communications and Transactions Act, together with any return procedures published by FirstShop from time to time.
Where a return is accepted, you may be required to follow our returns procedure, obtain a returns authorisation number, and comply with reasonable packaging, collection, inspection, and testing requirements.
10. Price Match
Any price match offered by FirstShop is governed by the separate Price Match Guarantee published on the website. A price match is not automatic and is subject to FirstShop’s review criteria, exclusions, and approval process.
11. Electronic Communications and Website Use
By using the website or communicating with us electronically, you consent to receiving communications from us electronically for purposes related to your account, order, delivery, returns, support, or legal notices.
12. Intellectual Property
All content on the website, including text, product information, pricing, graphics, icons, logos, software, layout, and design elements, is owned by or licensed to FirstShop and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, publish, or commercially exploit any part of the website without prior written consent, except as permitted by law.
13. Limitation of Liability
To the fullest extent permitted by law, FirstShop will not be liable for any indirect, special, incidental, or consequential loss arising from the use of the website, any order, any delay, or any inability to supply goods. Where liability cannot lawfully be excluded, FirstShop’s liability will be limited to the value of the affected goods or the amount paid for them, whichever is lower, unless applicable law provides otherwise.
14. Force Majeure
FirstShop will not be responsible for any failure or delay in performing any obligation where that failure or delay results from events beyond our reasonable control, including natural disasters, acts of government, war, civil unrest, labour disruption, supplier failure, courier failure, telecommunications outages, cyber incidents, or utility interruption.
15. Privacy and Personal Information
We take reasonable steps to protect personal information in accordance with applicable data protection laws, including POPIA. Your use of the website is also subject to our privacy-related policies and notices, where applicable.
16. Changes to These Terms
FirstShop reserves the right to amend these Terms of Service from time to time. Any updated version published on the website will apply from the date of publication, unless otherwise required by law.
17. Governing Law
These Terms of Service are governed by the laws of the Republic of South Africa. Any dispute arising from the use of the website or from any transaction concluded through it will be subject to the applicable laws and dispute resolution processes of South Africa.
